Terms of Service

These Terms of Service ("Terms") govern your access to and use of the StockChef platform ("Service"), operated by StockChef, registered in Malta ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

1. The Service

StockChef is a cloud-based restaurant inventory management platform. Features include inventory tracking, purchase orders, delivery management, AI invoice scanning, integrations with delivery platforms, and related tools. Features vary by subscription plan.

2. Accounts

  • You must provide accurate registration information and keep it up to date.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately at [email protected] if you suspect unauthorised access to your account.
  • Each account belongs to one organisation (tenant). You may not share accounts across separate businesses.
  • You must be at least 18 years old to create an account.

3. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorised access to any part of the Service or another user's account
  • Upload malicious code, viruses or any content intended to disrupt the Service
  • Reverse-engineer, decompile or attempt to extract the source code of the Service
  • Resell, sublicense or commercially exploit the Service without our written consent
  • Use automated scraping or data harvesting tools against the Service

4. Subscriptions and payment

  • Paid plans are available on monthly or annual billing cycles.
  • Prices are listed in EUR and are exclusive of any applicable taxes (e.g. VAT).
  • To subscribe, upgrade or change your plan, contact us at [email protected].
  • We do not offer refunds for partial periods, except where required by applicable law.
  • We reserve the right to change pricing with 30 days' notice to active subscribers.

5. Free trial

We may offer a free trial period. At the end of the trial, the Service will be restricted unless you subscribe to a paid plan. Contact us at [email protected] to arrange a trial.

6. AI scanning credits

  • AI invoice scanning consumes credits included with your plan (100/mo Starter, 500/mo Pro, unlimited Enterprise).
  • Unused credits do not roll over to the next month.
  • Additional top-up credit packs may be available — contact us for details.

7. Your data

  • You retain ownership of all business data you upload to StockChef.
  • You grant us a limited licence to process your data solely to provide the Service.
  • We do not sell or share your data with third parties for marketing purposes.
  • You may request a copy of your data by contacting us at [email protected]. On account closure, requests must be made within 30 days before data is permanently deleted.

8. Intellectual property

  • StockChef and all associated software, branding, designs and content are owned by us or our licensors.
  • Nothing in these Terms transfers any intellectual property rights to you.
  • Your business data and content remain your property.

9. Availability and uptime

We aim to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance that causes temporary downtime; we will endeavour to give advance notice where possible. We are not liable for losses caused by downtime outside our reasonable control.

10. Limitation of liability

To the fullest extent permitted by Maltese law:

  • The Service is provided "as is" without warranty of any kind.
  • We are not liable for indirect, incidental, special or consequential damages arising from your use of the Service.
  • Our total liability to you in any 12-month period shall not exceed the total fees paid by you to us in that period.

11. Indemnification

You agree to indemnify and hold harmless StockChef and its officers from any claims, damages or expenses arising from your misuse of the Service or violation of these Terms.

12. Termination

  • You may cancel your account at any time by contacting us at [email protected].
  • We may suspend or terminate your account if you breach these Terms, with or without notice depending on severity.
  • On termination, your access to the Service ends immediately. Your data will be retained for 30 days then permanently deleted.

13. Changes to these Terms

We may update these Terms. Material changes will be communicated by email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing law and jurisdiction

These Terms are governed by the laws of Malta. Any disputes shall be subject to the exclusive jurisdiction of the Maltese courts, unless mandatory consumer protection laws in your country of residence provide otherwise.
